Mergers and Acquisitions Course Overview

To help organisations understand and structure winning deals, our comprehensive and interactive Mergers and Acquisitions Programme at Nanyang Business School, Singapore aims to provide executives with a practical, end-to-end understanding of the whole merger and acquisition (M&A) value chain. Both the acquisition and divestment processes will be covered.

Delivered by a strong line-up of NTU faculty and industry practitioners through a combination of presentations and case studies, our M&A course will examine the motivations, the strategic considerations and issues involved in planning and implementing M&A as well as elements for success and pitfalls to avoid for both the bid and sale process.

You will gain a good understanding of the various aspects of the M&A process including corporate strategy, target search and identification, due diligence, valuation, negotiation, deal structuring, financing and implementation. Cross-border M&A, regulatory requirements and compliance, post-merger integration and business combination will also be discussed.

At the end of the programme, you will gain an understanding of:

  • The role of M&A in an organisation’s corporate strategy and growth policy.
  • The process involved in M&A including target search and identification, due diligence, valuation, negotiations, deal design and structuring, financing, and implementation.
  • Valuation process, standards, approaches, models, parameters, and challenges in M&A transactions.
  • Deal negotiations, deal structuring and financing considerations (leverage, earn outs, put/call options)
  • Private equity funds – how they are structured and how they operate.
  • M&A regulatory requirements and compliance.
  • The M&A and divestment in capital markets transactions.
  • Specific post transaction matters such as post-merger integration and business combination.

The four-day programme will be staggered over two weeks (two days per week) to minimise disruption from work and to allow more time for pre-reading and case analysis.

Pre-course reading materials will be provided to help you get up to speed so you can participate actively and benefit more from the programme.

      SkillsFuture Credit 
      On top of the above funding, Singapore Citizens, aged 25 and above and self-sponsored may use their SkillsFuture Credit to defray part of the nett course fee. 

      Participants do not need to contact SkillsFuture to apply for funding prior to course registration. NTU will facilitate the funding paperwork for both self and company-sponsored participants. Participants will be invoiced the nett amount after funding and GST.

      Adjunct Associate Professor, Nanyang Business School
      Nanyang Technological University, Singapore

      Eric Teo is the Founding Chairman of the International Valuation Standards Council (IVSC) Membership and Standards Recognition Board, and the Institute of Valuers and Appraisers of Singapore (IVAS).  Eric is a Consultant in Savills and was formerly the firm’s Head of Business Valuation and Advisory practice in Southeast Asia. 

      Prior to this, Eric was the Executive Director of Ernst & Young (EY) Valuation and Business Modelling (VBM) practice, and has worked in both the Singapore and Australia practices.  Whilst with EY, he has led the EY Asia Pacific VBM Technical Standards Committee.   Eric has conducted business valuation for transactions and financial reporting for companies from various industries and his clients include SMEs, GLCs, MNCs, and public listed groups.

      Apart from professional practice, Eric also sits on various boards and committees, and is actively involved in the education and professional development space.  He has worked with institutes of higher learning, professional organisations, government agencies and regulatory bodies in Singapore and the region. He is currently an Adjunct Associate Professor/Faculty with Nanyang Technological University, Singapore University of Social Sciences, and Singapore Institute of Technology. 

      Eric holds the designation of CVA Singapore, Fellow CA Singapore, Fellow CA ANZ, Fellow CPA Australia, Fellow RICS and Senior Fellow, FINSIA.

      Eugene Tse

      Eugene is the founder and Managing Director in Mergerstone Capital, an M&A firm based in Singapore, part of Pandea Global M&A, a global alliance of M&A firms with 58 offices in 33 countries internationally.  In his career, Eugene has successfully completed several middle market cross border M&A deals in sectors such as in precision engineering, testing, inspection and certification (TIC), cyber security, apparel manufacturing, healthcare, logistics, food services, aviation amongst others.

      Prior to starting his own practice, Eugene worked in global investment banks such as Houlihan Lokey and EY Corporate Finance. He successfully listed a furniture company on the SGX in 2014 and joined the board for 2 years as its Executive Director. Eugene also spent a few years in private equity, investing in mid market companies. He started his career in the Singapore government public service in Enterprise Singapore.

      Eugene volunteers as the Vice President of the Enterprise Singapore Society, the Alumni society of the Enterprise Singapore. Eugene has completed an Executive MBA from Nanyang Business School, an Excellence in Finance Program in The Wharton School, University of Pennsylvania, and Leadership and Entrepreneurship Programs in the Haas School of Business, UC Berkeley. He also holds a Master of Applied Commerce from the University of Melbourne and a Bachelor of Engineering (Honours) from the Nanyang Technological University.

      Vincent is the Executive Director and Head of Strategic Development (since July 2015), at Sompo Holdings (Asia) Pte Ltd. He is responsible for developing the Sompo Group’s external growth strategy and executing its strategic development initiatives in the Asia-Pacific region. These could include market entry, expansion into new/ adjacent verticals, new business models and market consolidation by investing in traditional property and casualty insurance businesses, fintech/ insuretech/ platform ecosystems or non-traditional distribution channels to gain access to a broader customer base. The investments can be via mergers & acquisitions, joint ventures, partnerships and strategic alliances.

      Prior to Sompo Group, Vincent has more than 20 years of investment banking experience with various banks (Schroders, Salomon Smith Barney and BNP Paribas) advising clients on M&A, capital raising and other treasury solutions. From 2003 to 2004, he was Chief Investment Officer of the Ascott Group, a leading international serviced-residence firm.

      He holds a Bachelor degree in Accountancy (Hons) from the National University of Singapore and a Master of Applied Finance from University of Adelaide.

      Elisa is an Associate Partner in Ernst & Young Corporate Finance Pte Ltd. She has worked in capital markets for over 20 years, with transactional experience in the areas of mergers and acquisitions, divestments, independent financial advisory, privatisation and delisting, fund-raising and deal structuring.

      Elisa has advised companies, including companies listed on the Singapore Exchange, real estate investment trusts (REITs), business trusts and government statutory boards in areas of real estate, healthcare, telecommunications, transportation, food and beverage, consumer and manufacturing.

      Elisa obtained her Masters in Business Administration (Banking and Finance) degree from the Nanyang Business School, Nanyang Technological University, Singapore and her Bachelor of Science degree in Business Administration from the University of the Philippines.

      Chuanjie is a Chartered Financial Analyst, Chartered Accountant of Singapore, and Chartered Valuer and Appraiser. With over 17 years of experience, he has established himself as a skilled and qualified accountant, specialising in financial modelling, financial due diligence, business valuation, and data analytics.

      During his tenure as an Associate Director at EY, Chuanjie played a vital role in numerous valuation engagements, encompassing areas such as mergers and acquisitions, divestitures, restructuring, project financing, financial reporting, tax planning, and strategic transformation.

      Currently, Chuanjie holds the position of Director at a renowned commercial and residential real estate agency, directing his efforts towards delivering exceptional business valuation and advisory services. His primary focus lies in assisting clients with comprehensive valuation solutions and strategic guidance.
